Question of
the Day
By: Stan Sias
Building Officials, do you
love ‘em or hate ‘em?
Last month we had a question regarding the
Stan Sias - National Manager
relationship between specifiers, architects and engineers,
Plated Truss Industry at Simpson Strong-Tie
and the component manufacturer. We spoke specifically
about the benefits of collaboration where each party was
enabled to use their creativity and intellectual property to best compliment the other party for
the benefit of the entire project. This months question taps that same vein, only with regards to
your relationship with your local Building Officials.
I travel frequently and am in component manufacturing plants often. I regularly hear
complaints that the local building inspector is requiring this, that or the next thing and is generally
being a pain in their collective back-sides. When these situations occur, I will always take the
opportunity to ask the technicians, design manager and/or owner the question above. Building
Officials, do you love them or hate them? Interestingly for many, they see them as another foe.
This attitude continues to surprise me, even after all these years.
Like the relationship with the specifying community, trying to sneak something past your
Building Department will only cause the rift to deepen. They will be watching your submittals
like a hawk stalking prey…which, by the way, is what you really want them to be doing both in
their office and out on the job site! Perhaps a better approach is to try and work with them on
understanding their issues and concerns, and then offering to provide them with some industry
training to get everyone on the same page. This may ultimately become training for the truss
technicians as well. Is it possible that you may not have been dealing with one of their concerns
correctly in the beginning? Once you get together and start communicating, I’m sure that you’ll
each find positions of strength (and weaknesses) from which the basis for a lunch and learn
seminar can be created to everyone’s benefit. This can and should lead to the improved relations
which benefit both parties. Do you think it would not be worth the cost of a couple pizzas and
some soda to have the lunch hour to review the contents of your submittal package face-to-face
with the Building Department? I sure do! Better yet, if you can get them to commit, ask them
all to come out to your plant. While there you can also offer a tour of your facility to show them
what you do. Many, if not most of them have probably never stepped foot into a truss plant. They
will be fascinated by the technology that you take for granted, that they are seeing for the first
time. Your industry trade association, SBCA, has a multitude of prepared educational programs to
assist you with the content for your presentations, and no one knows your plant and its functions
better than you and your staff. They are on your turf, puff up your chest and show them how
proud you are of what you do and how you do it.
While on the topic of relationship building, be prepared to listen to their questions and truly
hear their concerns. Is the problem that they don’t understand how to read a Truss Design Drawing,
or can’t find the information they’re looking for because everyone’s drawings are different. You
know you can help. Is it because they can’t keep up with the codes that they are enforcing because
they change to often? Is it that they haven’t had time to read the latest referenced standard and
incorporate it into their latest thinking? You can help there too. Many, many times, simply sitting
at the same table and having open dialogue with deepen both of your understandings. Possibly
more important, it puts a human face on each side of the question and breaks down the barriers
of communication.
Understand that they know their business probably better than you do and that you know your
business probably better than them (most assuredly, I’m just trying to be fair). Reach out, take
the first step. Maybe you simply give the head building official a call and ask if there is anything
that you or your company (or maybe the local SBCA Chapter) can do to assist them. Are they
having an education conference? Do they ever do lunch-and-learn sessions? Show them you are
willing to open dialogue. It may not lead to an instant success, but you will have planted a seed
and started the conversation. This makes the second conversation even easier. Give them a bit
and then call them back. Invite them to your plant for coffee, donuts and a tour. Make it easy on
them to take the baby steps towards a meaningful relationship. Ultimately you will be glad you
did, and so will they. You want proof? Ask your wife or husband. Thanks for reading.

Insider’s Secrets for the
Buying/Selling of Component Companies
Website: www.todd-drummond.com - Phone: (USA) 603-763-8857
Email: [email protected] Copyrights © November 2014
Our industry is changing in a big way. By now, most of you have heard about the acquisitions of
independent companies across the country. Right now, some of the people reading this newsletter are either
contemplating or in actual talks about selling their business. From conversations with those who actually do
the buying and selling - it could make or lose you millions of dollars depending on how you decide to handle
the sale process. The people I have been talking with deal with hundreds of millions of dollars (No B.S.), it’s
probably worth listening to them.
The first secret? How do big, multi-location companies come up with acquisition targets? Quite simply,
the more you show up on industry lists, the bigger your sales volume, the higher you are on the target list. If
your sales are greater than $20 million per year, your phone has probably been ringing. Smaller businesses
are more of a grey area for larger buyers. Their time is very valuable and limited, so they tend to focus on
acquisitions that can make a meaningful, positive gain for their company as it takes just as much time to do
a small deal as it does a large one.
Second, the value of your company is driven by profitability, with best-in-class performers receiving
premium valuations. (See “Net Profit Industry Standards”). Long story short they want to buy great companies.
Other things affect valuation, too: What part of the country your operation is, the quality of your go-forward
management team in place, etc. Too many think the value of a company’s assets weighs more than it actually
does. Building, equipment and all types of capital investment are a data point to buyers, and it may or may
not factor into your purchase price. Moving the net profit up just a few points can mean millions of added
value to your company in a sale.
What is the biggest secret of all, the one many company owners are totally unaware of? Picking up
that phone call and thinking you can handle buyers directly, and the sale process on your own, is the most
common mistake made. When you do this, two things happen. One, they know you are not thinking about
selling but that you are actually considering it. Two, buyers know they will save millions in purchase price
when dealing directly with sellers, when there is no competition for the deal. This is very hard for some to
hear, but it is true. Why? Because there is no way for you to know all of the ins and outs, and what is “fair”.
Let’s be honest - you’re busy making trusses every day, not focusing on what the market is for your business.
Folks who buy and sell businesses for a living laugh about how a buyer can save millions when they do not
have to go into the competitive bidding process that a good broker will make them go through. A good broker
will literally make 800+ phone calls to 70+ potential buyers if you want them to. An owner who is selling
without a broker might make half a dozen phone calls. Who do you think creates a better environment to get
the best selling price? Worried about how much this will cost you? Know that in the end, what you will find
is that the fees charged by an expert broker are peanuts compared to what the added selling price will garner.
I’ve witnessed it firsthand.
Many of you are literally selling “your baby”, the livelihood that has been your whole world for many
decades. It can be a very personal and emotional experience. The broker industry’s stereotype is similar to
that of lawyers. Many refer to them as being worthless sharks who are only concerned about making the deal,
but there are also the few who have an excellent reputation and are worth their weight in gold. Not only do
good brokers find the best selling price you are going to get for your company, they make the whole process
as painless as possible. It takes a lot of work to make a sale happen; the good broker knows how to properly
prepare and execute everything to make it all happen.
For those who are thinking about selling, heed this advice, use a reputable broker who knows our industry
and can give you references from their clients with whom you can speak. If they don’t understand and are
missing a real, expert experience within our industry- why would you think they are worthy of handling the
sale of your most valued, prized possession? Get some competition for your deal, and keep what you have
learned in this article in mind as you look for help; it may mean millions more in your pocket.

reducing cost and improving produc vity in all areas of wood component manufacturing. Find
out just how much your opera on can improve its sales, design and manufacturing processes

Normal gains for most clients are 3 to 6 points in net profit!

TesƟmonial of ConsultaƟon Services
McCabe Lumber - Loveland, Ohio
Joe Tepe -Components Division Manager, Co-Owner
In recent years, the market for component manufacturing businesses has changed dras cally. Our industry has
become extremely compe
ve. The drop in construc on has caused manufacturers to reduce prices as far as possible in order to
“get the job.” During this me, we are forced to ques on our es ma ng techniques. We believe that a cri cal key to success is
the ability to iden fy our true cost on every job that we es mate. We have to be aware of the point at which the job is no longer
profitable.
Todd provided us with me standards which were specific to the equipment that we use. This informa on allowed us
to es mate our jobs with a drama cally increased level of accuracy on each project, regardless of its level of complexity. The
me standards also gave us the informa on to measure our produc on and establish target output for each worksta on in our
shop.
Todd also offered sugges ons for lean manufacturing prac ces, marke ng, quality control, produc on, and design
incen ves. We con nue to implement his ideas, which have received posi ve feedback from our customers. Each has resulted
in improvements to our opera ons.
I recommend Todd’s consulta on to any truss manufacturer, even during difficult markets. The expense of the consult
was money well spent in improving our profitability

You sure are not the typical B.S. consultants we have tried before. It is obvious to everyone you are a truss guy and know what
you are talking about.
Good God Todd, why in the world did we not hire your services before buying new equipment? Compared to new equipment,
you are a hell of an easy to do investment I should have made before buying more equipment!
Damn Todd, I wish I did this with you years ago. Just about everything you told us made a posi ve difference to the bo om line.
Todd, you are becoming known as the next go to guy a er John Houlihan and Don Ullmer.
Okay Todd I will be happy to be a referral for your services but I am not willing to create a tes monial for your website. Let
them give me a call and you will get more business, no problem!

shortest and least productive job site work week of
2014. It is also the least productive for logging
and lumber production.
The current lumber market strength
is weather induced. For this rally to continue, we
MUST have much better than normal January
weather in the north. The long range forecasts are
more favorable than last winter, however, the
volatile El Niño effect could bring cold surprises.
• Forecasted Decision Points (FDP) Trends...The
forecast for January is higher. February drifts lower.
• 6x10 Historicals...The first two weeks of the year
are historically very strong. Over the last ten years,
75% of that time, lumber prices have finished higher or
unchanged. 95% of that time, OSB has finished higher
or unchanged. SPF and SYP have been higher the first
week of the year, ALL of the last ten years.
.
• Sales/Production Ratios...Lumber and OSB mills
have solidified year end order files.
• Conclusion...Buying should continue into year end
since mills have order files and can assure January
delivery on most items. This flurry started early and is
totally weather dependent if it is to last through Jan.
